Terms and Conditions

1. About These Terms

These Terms and Conditions (“Terms”) form a legally binding agreement between you and Health Tech Academy, LLC, a Texas limited liability company with its principal place of business at 1101 S Capital of Texas Hwy, Building J, Suite 205, Austin, TX 78749 (“Health Tech Academy,” “HTA,” “we,” “us,” or “our”).

Health Tech Academy is the parent company and operator of HealthcareHire.ai. HealthcareHire.ai is a product and service offered by Health Tech Academy and is accessible through app.healthcarehire.ai and any related domains, subdomains, applications, APIs, or interfaces we designate (collectively, the “Platform”).

These Terms govern your access to and use of HealthcareHire.ai, including career discovery, profile and resume tools, job search and application features, employer-facing recruiting and talent tools, assessments, interview tools, AI-assisted recommendations and matching, communications, and related support and platform functionality.

By creating an account, accessing the Platform, or using any HealthcareHire.ai feature, you agree to be bound by these Terms and by our applicable Privacy Policy. If you do not agree, you must not use the Platform.

If you use the Platform on behalf of an employer, healthcare system, staffing organization, workforce organization, or another entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” includes both you and that entity.

If you use the Platform on behalf of an Employer Customer and Health Tech Academy has entered into a separate written agreement with that Employer Customer governing its use of the Platform, that separate agreement controls to the extent of any conflict with these Terms. These Terms continue to apply to individual users except to the extent a separate written agreement expressly provides otherwise.

2. Definitions

3. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use the Platform.

You may not use the Platform if applicable law prohibits you from doing so, if you are located in a country or territory subject to comprehensive U.S. sanctions, or if you appear on a U.S. government list of prohibited or restricted parties.

Certain job opportunities or employer processes may have additional requirements established by the employer, applicable law, credentialing organizations, licensing bodies, or other third parties. Access to HealthcareHire.ai does not establish eligibility for any particular role, credential, license, interview, or employment opportunity.

4. HealthcareHire.ai Services

Depending on your account type, the Platform may provide features such as:

• Career discovery, role exploration, skills assessments, and career-path recommendations.
• Professional profile, resume creation and tailoring, skills records, and portfolio tools.
• Job search, job recommendations, application assistance, application submission, and application-status tracking.
• Interview preparation, interview scheduling, interview assessments, recordings, transcripts, and related feedback tools.
• AI-assisted job matching, candidate matching, sourcing, ranking, screening, recommendations, summarization, and workforce insights.
• Employer and recruiter tools, including candidate pipelines, talent search, analytics, internal mobility, and redeployment workflows.
• Messaging, notifications, support features, integrations, and other functionality related to recruiting and career development.

We may add, modify, suspend, or discontinue Platform features from time to time. We may also release beta, preview, pilot, or experimental features that may change or be discontinued.

5. Accounts and Security

You must provide accurate, current, and complete information when creating or maintaining an account.

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring under your account.

You must promptly notify us at info@healthtechacademy.org if you believe your account or credentials have been accessed or used without authorization.

You may not share, sell, transfer, or improperly allow another person to use your account. Employer-managed accounts may be administered, suspended, or revoked by the applicable Employer Customer.

You may not attempt to bypass authentication, authorization, access controls, rate limits, security mechanisms, or technical restrictions on the Platform or its APIs.

6. Acceptable Use

You agree not to misuse HealthcareHire.ai. You may not:

• Use the Platform for unlawful, fraudulent, deceptive, discriminatory, abusive, harassing, or harmful activity.
• Submit information you do not have the right to use, disclose, upload, or process.
• Impersonate another person or misrepresent your identity, qualifications, employment history, credentials, or authority.
• Scrape, crawl, harvest, extract, copy, or systematically collect Platform content or user data except where expressly authorized.
• Reverse engineer, interfere with, overload, disrupt, or attempt to gain unauthorized access to the Platform, accounts, systems, or networks.
• Upload malware, malicious code, or content designed to compromise systems or data.
• Use Platform data to make decisions prohibited by law or to engage in unlawful discrimination.
• Use automated tools, bots, agents, or scripts in a manner that violates these Terms or technical restrictions we provide.

7. Your Content and Platform Data

You retain ownership of Your Content. You grant Health Tech Academy a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use Your Content only as reasonably necessary to provide, secure, maintain, support, troubleshoot, and improve HealthcareHire.ai, in each case in accordance with these Terms, the applicable Privacy Policy, and, where applicable, our agreement with the relevant Employer Customer.

We may use aggregated or de-identified information derived from Your Content to maintain, secure, analyze, and improve the Platform, subject to applicable law and our contractual obligations. We will not use Employer Customer-controlled personal information in a manner inconsistent with our agreement with the Employer Customer or applicable law.

You represent that you have the rights and permissions necessary to submit Your Content and to allow us to process it for the purposes described in these Terms and our Privacy Policy.

Where you interact with an Employer Customer, information you submit may be shared with that Employer Customer as part of recruiting, screening, interviewing, matching, application, or workforce processes. Employer Customers may independently control certain information they receive and may have their own privacy obligations.

8. Artificial Intelligence Features

HealthcareHire.ai may use AI Features to assist with job matching, candidate matching, resume support, skills analysis, screening, interview preparation, summaries, recommendations, rankings, and other Platform functions.

AI-generated or AI-assisted outputs may be incomplete, inaccurate, outdated, or inappropriate for a particular situation. You should review important information before relying on it and should not treat AI output as legal, medical, financial, credentialing, or other professional advice.

AI Features are intended to support, not replace, appropriate human judgment and do not guarantee employment decisions or outcomes. Unless an Employer Customer separately informs an affected individual otherwise in accordance with applicable law, Health Tech Academy does not make hiring, employment, promotion, termination, compensation, or other employment decisions and does not make solely automated decisions that produce legal or similarly significant effects concerning an individual.

Employer Customers remain responsible for determining whether and how to use AI-assisted outputs; conducting meaningful human review where required; making hiring, employment, and workforce decisions; and complying with laws applicable to those decisions, including obligations relating to notices, consent, bias audits or impact assessments, recordkeeping, accommodations, alternative-selection processes, and rights relating to automated decision-making.

9. Recordings, Interviews, and Communications

Certain interview, assessment, coaching, or practice features may support audio recordings, transcripts, or similar content. When recording is enabled, we will request or provide notice as required by applicable law and Platform design.

Recordings and transcripts may be processed to provide transcription, analysis, scoring, summaries, feedback, or other AI-assisted features. Where an interview or assessment is conducted for an Employer Customer, relevant content and results may be shared with that Employer Customer.

You are responsible for using recording and communication features lawfully and for obtaining any consent you are legally required to obtain from other individuals when you initiate or control a recording or communication involving those individuals. Health Tech Academy and, where applicable, the relevant Employer Customer will provide notices and obtain consents that each is required by law to provide or obtain for recordings, transcripts, AI-assisted analysis, or biometric processing that it controls.

10. Third-Party Services and Job Listings

HealthcareHire.ai may display, integrate with, link to, or obtain information from third-party services, job boards, employers, identity providers, communication providers, assessment providers, or other external sources.

Third-party services are governed by their own terms and privacy practices. Health Tech Academy does not control and is not responsible for the availability, accuracy, security, policies, actions, or content of third-party services.

Job listings or employer information may originate from employers or external data sources. We do not guarantee that every listing is complete, current, available, accurate, or suitable for you.

11. No Guarantee of Employment or Hiring Outcome

HealthcareHire.ai does not guarantee an interview, job offer, employment, placement, promotion, credential, salary, wage, hiring timeline, candidate response, or any other career or recruiting outcome.

Job recommendations, candidate matches, rankings, scores, market information, and similar outputs are tools to assist users and are not promises or determinations of suitability, eligibility, performance, or future results.

12. Intellectual Property

The Platform, including its software, interfaces, designs, trademarks, logos, text, graphics, workflows, models, features, and other content provided by us, is owned by or licensed to Health Tech Academy and is protected by applicable intellectual property laws.

Except for the limited right to use the Platform under these Terms, no rights in Health Tech Academy or HealthcareHire.ai intellectual property are transferred to you.

13. Disclaimers

To the maximum extent permitted by law, the Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from harmful components, or that any information, recommendation, match, score, listing, or output will be accurate or complete.

Nothing on HealthcareHire.ai constitutes a promise by Health Tech Academy that a Candidate or Employer Customer will achieve any specific employment, hiring, workforce, recruiting, or business result.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Health Tech Academy and its affiliates, officers, directors, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, opportunities, profits, goodwill, revenue, business, or anticipated savings, arising out of or relating to your use of, or inability to use, the Platform, even if advised of the possibility of those damages.

To the maximum extent permitted by applicable law, the aggregate liability of Health Tech Academy and its affiliates, officers, directors, employees, contractors, and licensors arising out of or relating to these Terms or the Platform will not exceed the greater of: (a) the amounts paid by you to Health Tech Academy for use of the Platform during the twelve months before the event giving rise to the claim; or (b) one hundred U.S. dollars (US $100).

The limitations in this Section do not exclude or limit liability to the extent it cannot be excluded or limited under applicable law. Some jurisdictions do not allow certain exclusions or limitations, so some of the above limitations may not apply to you.

15. Suspension and Termination

We may suspend, restrict, or terminate access to the Platform if we reasonably believe you have violated these Terms, created a security or legal risk, misused the Platform, or if suspension is necessary to protect users, Employer Customers, Health Tech Academy, or third parties.

Where reasonably practicable and permitted by law, we may provide notice of a suspension or termination and an opportunity to address the underlying issue.

You may stop using HealthcareHire.ai at any time. Account and personal-data deletion requests are handled in accordance with the Privacy Policy and applicable legal or contractual retention requirements.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

Any dispute relating to these Terms or HealthcareHire.ai will be handled in the courts having jurisdiction over Health Tech Academy's principal place of business, unless applicable law or a separate written agreement requires a different forum or dispute process.

17. Changes to These Terms

We may update these Terms from time to time to reflect changes in HealthcareHire.ai, our business, technology, legal requirements, or operating practices. When we make material changes, we will provide notice as required by applicable law. The updated version will identify its effective date.

Your continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms where permitted by law. Where applicable law requires additional notice, affirmative agreement, or another process before a change takes effect, we will follow that requirement.
